LITTLE RUDDER FLIGHT SCHOOL LLC – TERMS AND CONDITIONS

1. ACCEPTANCE OF TERMS & PORTAL INTEGRATION
By accessing the Little Rudder Flight School LLC (“Little Rudder”) website (the “Website”), or utilizing any designated training spaces, platforms, and marketing assets provided by Little Rudder, you agree to be bound by these Terms and Conditions and our Privacy Policy.
Digital Portal Integration: You acknowledge that the “Login” functionality on the Little Rudder Website seamlessly redirects and logs you into software owned, operated, and maintained by Fly Learn LLC (“Fly Learn”). By logging in or scheduling any aviation activity, you agree that you are simultaneously bound by the Fly Learn Terms and Conditions.
2. THE ECOSYSTEM & CORPORATE SEPARATION
Little Rudder is a marketing entity and facility/training space coordinator. To ensure compliance with aviation regulations and corporate liability shields, you explicitly acknowledge the following structural separations:
No Operational Control: Little Rudder does not own aircraft, directly employ flight instructors, or exercise zero operational control over any flights, dispatching, or aviation training.
Aircraft Providers: All aircraft are owned, managed, and maintained solely by third-party, independent Aircraft Providers (such as Summit Ground LLC or other authorized fleet owners). All aircraft rentals are strictly governed by the specific Aircraft Rental Agreement between the user and the respective Aircraft Provider.
Technology & Billing Agent: All scheduling, digital record-keeping, billing processing, and lesson tracking are handled exclusively by Fly Learn LLC.
Independent Instructors: All flight training and flight reviews are provided by independent contractor flight instructors, who are not employees, agents, or joint-venturers of Little Rudder, Fly Learn LLC, or any Aircraft Provider.
3. RIGHT TO REFUSE SERVICE
Little Rudder, in coordination with its technology and aircraft partners, reserves the absolute right to refuse service, terminate accounts, deny access to training spaces, or cancel any scheduled activity for any individual at any time, with or without cause, and without the obligation to specify a reason. This right may be exercised immediately to ensure safety, regulatory compliance, or the protection of property and personnel.
4. WEBSITE USE, ACCOUNTS, & SECURITY
Fly Learn Infrastructure: Because Little Rudder utilizes the Fly Learn platform for scheduling and account management, your user account credentials are encrypted and processed by Fly Learn LLC.
Account Responsibility: You are solely responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your account.
Prohibition on Sharing: Sharing account logins to bypass safety protocols, scheduling rules, or platform fees will result in immediate termination of access and portal privileges.
5. SMS/TEXT MESSAGING COMMUNICATION PROTOCOLS
By providing your phone number to Little Rudder or via the integrated Fly Learn portal, you expressly consent to receive automated and manual text messages (SMS and MMS) from Little Rudder and its automated scheduling partners regarding booking confirmations, flight schedules, safety alerts, weather updates, and facility announcements.
Opt-Out: You can unsubscribe from text communications at any time. Reply STOP to opt out at any time. After texting STOP, you will receive one final message confirming your unsubscription.
Support: If you experience issues with our text messaging system, reply HELP for help, or reach out to support through the portal interface.
Frequency: Message frequency varies based on your scheduling activity, flight volume, and instructor communications.
Pricing: Message & data rates may apply for any messages sent to you from us and to us from you, according to your mobile carrier rate plan.
EMERGENCY PROHIBITION: Text messages are not intended for emergency use. Do not use SMS to report in-flight emergencies, mechanical failures, immediate hazards, or time-sensitive grounding events. In the event of a real-world aircraft or safety emergency, utilize standard aviation radio protocols, dial 911, or contact air traffic control immediately.
6. FEES, BILLING, & THIRD-PARTY AGENTS
Fly Learn Collection Agent: Little Rudder does not directly process or store credit card data on this Website. All standard management fees, facility/space access fees, and rental rates are collected and processed via Fly Learn LLC acting as the payment processing agent.
Fee Structure: Applicable scheduling, software, and instructional support fees are disclosed internally within the platform or via specific user onboarding documents and are subject to change.
Refund Policy: All fees allocated to or paid via the platform are non-refundable. Little Rudder, in coordination with Fly Learn LLC, may evaluate exceptional circumstances on a case-by-case basis at its sole and absolute discretion.
7. TRAINING SPACES AND FACILITIES
You acknowledge that Little Rudder coordinates training across various digital environments, temporary spaces, public airport grounds, and temporary or permanent physical facilities. Little Rudder makes no guarantees regarding the permanent location of physical training environments and reserves the right to modify its operational spaces at will.
8. INTELLECTUAL PROPERTY
The Little Rudder Flight School brand, logos, website designs, text, graphics, and marketing materials are the exclusive property of Little Rudder Flight School LLC. The Fly Learn Syllabus and software code are the exclusive property of Fly Learn LLC. These digital assets are strictly segregated from, and shall remain protected from, any liabilities incurred by any Aircraft Provider or any independent contractor instructors.
9. DISCLAIMER OF WARRANTIES & LIMITATION OF LIABILITY
“As Is” Space and Media: The Website and any provided training spaces are utilized on an “As Is” and “As Available” basis. Little Rudder makes no representations or warranties of any kind, express or implied.
Aviation Operational Risks: Little Rudder is completely removed from real-world flight operations and maintenance decisions. LITTLE RUDDER IS NOT LIABLE FOR ANY ACCIDENT, INCIDENT, INJURY, OR DEATH ARISING FROM AVIATION OPERATIONS OR MECHANICAL FAILURES UTILISED BY AGREED PARTIES.
Software Reliance: Little Rudder is not responsible for any software downtime, scheduling errors, or data inaccuracies occurring within the Fly Learn software application. Physical aircraft logs maintained by the respective Aircraft Provider remain the sole legal record of airworthiness.
10. INDEMNIFICATION
You agree to indemnify, defend, and hold harmless Little Rudder Flight School LLC, its members, managers, officers, and the Chief Flight Instructor (personally and in an administrative capacity) from and against any and all claims, suits, losses, liabilities, or legal expenses (including reasonable attorney fees) arising out of or relating to:
Your use of any designated training spaces or airport grounds.
Your real-world flight operations, student training, or aircraft rentals.
Any negligence, omissions, or violations of Federal Aviation Regulations (FARs) committed by you or your independent instructor.
11. GOVERNING LAW & JURISDICTION
These Terms shall be governed by, construed, and enforced in accordance with the laws of the State of Arizona. Any legal action, suit, or proceeding arising out of or relating to these Terms, space utilization, or marketing services shall be brought exclusively in the state or federal courts located in the State of Arizona.
12. MODIFICATIONS AND SEVERABILITY
Little Rudder reserves the right to amend these Terms at any time by updating this posting. Your continued use of the Website, SMS communications, or physical training spaces after such changes constitutes acceptance. If any provision of these Terms is deemed unlawful or unenforceable, that provision shall be severable without affecting the validity of the remaining terms.
